("Computappoint")

("the Company").

For the purposes of this Agreement the terms the Commencement Date, the Termination Date, the Early Notice Provision, the Services, the Service Provider, the Consultant, the Price, the Location, the Operational Requirements shall have the meanings attributed to them in the Schedule to this Agreement.

IT IS AGREED AS FOLLOWS :-

1. This Agreement starts on the Commencement Date and shall remain in force until the Termination Date expiring automatically without notice being required from either party unless terminated earlier by operation of the Early Notice Provision.
2. The Service Provider has agreed with Computappoint to provide specialist services to Computappoint and its clients. The Company being in need of certain specialist services ("the Services") as set out in the Schedule to this agreement Computappoint agrees to supply the services of the Service Provider to the Company and the Company agrees to accept the same on the terms hereinafter appearing.
3. Computappoint will use reasonable endeavours to make available the services of the Consultant who is employed by the Service Provider but reserves the right to use any person other then the Consultant PROVIDED SUCH OTHER PERSON IS ACCEPTABLE to the Company but shall take all reasonable steps to avoid any changes of personnel save when they are unavoidable or of a temporary nature.
4. The Service Provider shall be responsible for all obligations arising under the National Minimum Wage Act l998, and for the payment of all Statutory Sick Pay, Incapacity Benefit and Statutory Maternity Pay in connection with the Consultant or other person provided pursuant to this agreement.
5. Computappoint and the Company recognises that the Service Provider shall use its own initiatives as to how the Services are to be provided but Computappoint will use its reasonable endeavours to procure that the Consultant complies with reasonable requests of the Company to observe health and safety regulations security requirements and to comply with the Operational Requirements. The Company cannot require that the Services are undertaken at a different site or location from that agreed in the Schedule.
6. The Price for the Services will be negotiated and agreed as between Computappoint and the Company from time to time and set out in the Schedule. The Company agrees to pay Computappoint within 14 days of presentation of an invoice.
7. Computappoint will if required by the Company ensure that the Consultant or any other person provided pursuant to this agreement enters into an agreement with the Company that they shall not during or after the termination of this agreement whether on their own behalf or in any capacity for any other person, firm or company use or disclose to anyone any information of a confidential nature relating to the Company or any of its associated companies or to its business, trade secrets, affairs or conduct of any of its or their client's customers or employees.
8. The Company shall make available to the Service Provider free of charge suitable office accommodation at the Location and such technical, secretarial, telecommunications and other facilities as the Company shall deem are necessary for the purpose of enabling the Service Provider to perform the Services.
9. The Company will not employ or approach staff of the Service Provider involved in the performance of this agreement with the intention of employing them during the term of this agreement or within 12 months following the termination or expiry of this agreement without the written consent of Computappoint.
10. If any offer of temporary or permanent employment is made by the Company to any person referred to in clause 3 then the Company agrees to pay Computappoint commission at a rate of 20% of the remuneration paid to the relevant person during the course of any temporary employment or a sum equal to 20% of the annual starting salary if a permanent position is offered and accepted.
11. Both parties agree the agreement will be governed and construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English Courts.
12. The terms of this agreement represent the entire agreement between the parties and supersede any previous representations or agreements whether recorded in writing or otherwise. No variations shall be valid unless made in writing and signed by a Director of Computappoint and the Company.
13. Each provision of this agreement shall be construed separately and notwithstanding that the whole or any part of the any such provision may prove to be illegal or unenforceable the other provisions of this agreement and the remainder of the provisions in question shall continue in full force and effect.
14. Notwithstanding termination of this Agreement the parties shall be entitled to enforce clauses 4, 6, 7, 9, and 10 of this Agreement.

Time sheets will be submitted on a monthly basis for signature by an officer/employee of the Company authorised by the Company. Such signature will signify that you accept the stated hours were worked and the work performed to your satisfaction. Invoices will be submitted based on these signed timesheets at a rate of £ per hour/day a day not being less than hours.
